Terms of Service

These Terms govern your use of the website studio.ecomforward.io (the “Site”) and any custom AI operations build or related service (the “Services”) provided by Ecom Forward Studio, operated by ECOMFORWARD LLC (“Ecom Forward”, “we”, “us”). By using the Site or engaging us, you agree to these Terms. Each paid engagement is also governed by a separate written proposal / statement of work (“SOW”), which prevails over these Terms where they conflict.

1. Who we are

The Site and Services are operated by ECOMFORWARD LLC, a limited liability company formed in the State of Delaware, United States, at 8 The Green, Suite A, Dover, DE 19901. Contact: info@ecomforward.io.

2. Use of the Site

The Site is provided for general information about our Services. You agree not to misuse the Site, attempt to disrupt it, access it unlawfully, or use its content other than as permitted. Content on the Site is provided “as is” and may change without notice.

3. The build call and quotes are not a binding offer

Booking a build call, the call itself, and any live demonstration are informational and do not create a contract. We scope and price each build on the call; any figures discussed are estimates until set out in a written SOW. A binding engagement arises only when both parties accept a SOW in writing.

4. Live demonstration

On a build call we may show a real AI operations system running on sample or anonymised ecom data, to demonstrate the calibre of what we build. The demonstration illustrates capability only; it is not a promise of specific results for your business, which depend on your data, tools, and goals.

5. The Services

We design and build custom AI operations workflows scoped to your operation — which may cover areas such as support, creative, email and retention, listings, reporting, and conversion. The exact scope, deliverables, timeline, and fees are defined in your SOW. We build on your own stack and keys where possible. Nothing we build publishes or actions anything without your approval, unless you explicitly configure otherwise.

7. Fees & payment

Fees, payment schedule, and any expenses are set out in your SOW. Unless stated otherwise, invoices are payable within 14 days, amounts are exclusive of any applicable taxes, and late payments may incur interest and reasonable collection costs to the extent permitted by law. We may pause work on overdue accounts.

8. Intellectual property & ownership

Subject to full payment, the deliverables built specifically for you under a SOW (the configured workflows and their outputs) are yours. We retain all rights in our pre-existing materials, know-how, methods, frameworks, and the underlying Ecom Forward platform and tooling (“Background IP”). To the extent our Background IP is embedded in a deliverable, we grant you a non-exclusive, perpetual licence to use it as part of that deliverable for your own business. We may use general skills and learnings, and reference the engagement at a high level, without disclosing your confidential information.

9. Confidentiality

Each party will keep the other’s non-public information confidential and use it only to perform or receive the Services, except where disclosure is required by law. This obligation continues after the engagement ends.

10. Data protection

Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, we act as your processor / service provider under a Data Processing Agreement, which forms part of the engagement.

11. Third-party services

The Services connect to third-party platforms (for example Shopify, Klaviyo, Meta, Google, TikTok) and may use third-party AI models and tools. We are not responsible for those services, their availability, pricing, or changes to their APIs or terms, and your use of them is governed by their own agreements.

12. Warranties & disclaimers

We will perform the Services with reasonable skill and care. Beyond that, the Site and Services are provided “as is” and “as available”, and we disclaim all other warranties to the fullest extent permitted by law. AI-generated outputs can be imperfect or inaccurate; they are drafted for your review, and you are responsible for checking and approving them before use. We do not warrant uninterrupted or error-free operation, or any specific commercial result.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to an engagement is limited to the fees you paid us for that engagement in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.

14. Indemnity

You agree to indemnify and hold us harmless against third-party claims arising from data or instructions you provided, your use of deliverables, or your breach of these Terms or applicable law.

15. Term & termination

These Terms apply while you use the Site or an engagement is in effect. Either party may terminate an engagement as set out in the SOW, or for material breach not remedied within 14 days of written notice. On termination, accrued fees remain payable, and clauses intended to survive (including IP, confidentiality, liability, and data) continue to apply.

16. Changes

We may update these Terms from time to time; the “last updated” date reflects the current version. Continued use of the Site after changes means you accept the updated Terms. The version in force for an engagement is the one in effect when the SOW is signed.

17. Governing law & jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Services, except where mandatory consumer law provides otherwise.
